This Agreement is entered into between MGBX Platform (hereinafter referred to as the "Platform") and users who choose to use MGBX Fixed-Term Wealth Management Services (hereinafter referred to as the "User").
Article 1 General Provisions
This MGBX Wealth Management Service Agreement (the "Agreement") constitutes a legally binding contract between you ("you" or the "User") and MGBX Global ("we", "us" or "MGBX"). This Agreement sets out the terms and conditions governing your use of MGBX wealth management products (hereinafter referred to as "Wealth Management") and related trading services provided via mgbx.com or any of our affiliated websites, application programming interfaces or mobile applications (collectively the "Platform").
The terms and conditions of this Agreement supplement the User Agreement, Privacy Policy, Risk Disclosure Statement, and any other agreements or publications issued by MGBX from time to time relating to MGBX wealth management products or relevant trading services (collectively the "Legal Documents"). If there is any inconsistency between the terms of this Agreement and the Legal Documents, the terms of this Agreement shall prevail. You shall carefully read this Agreement and all Legal Documents prior to using our wealth management products and relevant services.
Your use of MGBX wealth management products and related trading services (hereinafter the "Services") shall be deemed your acknowledgment that you have read, understood and fully agreed to all terms set forth in this Agreement and the Legal Documents (including any amendments issued by us from time to time). If you disagree with any provision of this Agreement or the Legal Documents, you shall immediately cease using the Services. Continued use of the Services shall constitute your unconditional acceptance of all terms contained in this Agreement and the Legal Documents.
Article 2 Service Eligibility & Access Restrictions
2.1 User Eligibility
You must have reached the age of eighteen (18) (or the legal age of majority stipulated in your jurisdiction) and possess full capacity for civil conduct to use the Services. Your use of the Services confirms that you satisfy the above eligibility criteria.
2.2 Geographic Restrictions
Please note that users residing in certain jurisdictions may be barred from accessing the Services. Such jurisdictions include, but are not limited to: the Democratic People’s Republic of Korea, Cuba, Sudan, Syria, Iran, Chinese Mainland, Singapore, the United States, the United Kingdom, Hong Kong of China, Russian-controlled areas of Ukraine (currently including Crimea, Donetsk and Luhansk regions), Sevastopol and Canada (collectively the "Restricted Jurisdictions"). The foregoing list is non-exhaustive, and MGBX reserves the right to unilaterally revise the list at any time without prior notice.
If you are located within any Restricted Jurisdiction, you shall immediately discontinue use of the Services. You shall bear all legal liabilities and losses arising from any breach of the geographic access restrictions.
2.3 Futures Yield Calculation Time
Interest calculation starts uniformly at UTC 00:00. The system takes random snapshots every hour. If the cumulative snapshot count for the day reaches 12 or more, the full yield for the previous day will be distributed at UTC 01:00 the next day. If the snapshot count is less than 12, the yield for that day will not be distributed.
Article 3 Description of Wealth Management Products
3.1 Product Categories
MGBX wealth management products include but are not limited to the following types:
- Flexible Wealth Management: Users may subscribe and redeem at any time; returns are calculated daily and distributed on a regular basis;
- Fixed-Term Wealth Management: Users lock digital assets for an agreed tenor, with principal and returns repaid upon maturity;
- Futures Staking: A wealth management service where returns are calculated based on snapshots of your futures account balance;
- Other Innovative Wealth Management Products: New types of wealth management products launched by MGBX from time to time.
Full product details, yield rates, subscription rules and restrictions shall be subject to the information published on the relevant product pages of the Platform.
3.2 Product Modifications
MGBX reserves the right to launch new, amend or terminate any wealth management product at any time based on market conditions, regulatory requirements or business needs, and shall notify Users in advance via Platform announcements or other reasonable channels.
Article 4 Futures Staking Service
4.1 Service Subscription
You may subscribe to the "Futures Staking" Service via the corresponding product page. You must hold a valid futures account to subscribe, and only supported digital assets held in your futures account are eligible for participation in this Service.
4.2 Return Calculation
After subscribing to Futures Staking, periodic snapshots will be taken of your futures account balance. Such balance includes margin amounts held for all open futures positions at the time of each snapshot. Return allocations are calculated based on the average balance captured across all snapshots, and all allocated returns will be credited directly to your futures account.
4.3 Snapshot Rules
- The timing and frequency of snapshots shall be determined by MGBX in accordance with system operation conditions and stated clearly on the product page;
- Only the account balance captured at the exact snapshot time shall serve as the valid basis for return calculation; any asset movements occurring before or after the snapshot will not be included in the current period’s return computation;
- MGBX reserves the right to adjust snapshot timing due to system maintenance, abnormal market conditions or other exceptional circumstances.
4.4 Return Distribution
Returns will be credited to your futures account in accordance with the distribution cycle published on the Platform; actual receipt may be subject to minor delays due to system processing workflows.
Article 5 Risk Disclosure
5.1 Market Risk
Digital asset prices are subject to extreme volatility. Actual returns generated by wealth management products may fall below expectations due to market fluctuations, and principal losses may occur. Historical yield rates do not guarantee future returns.
5.2 Liquidity Risk
Under certain market conditions, wealth management products may suffer insufficient liquidity, which may cause delayed redemptions or prevent timely redemption requests from being fulfilled.
5.3 Technical Risk
System malfunctions, network outages, hacking attacks and other technical failures may disrupt normal operation of the Services. MGBX will implement reasonable technical safeguards to protect Platform security but cannot fully eliminate such technical risks.
5.4 Regulatory Risk
Regulatory policies governing the digital asset industry remain uncertain. Changes to relevant laws and regulations may impact the availability of the Services and the level of achievable returns.
5.5 User Acknowledgment
You acknowledge that you fully understand and accept all the above risks prior to using the Services. MGBX shall not be liable for any losses arising from the above risks, save for losses directly caused by MGBX’s willful misconduct or gross negligence.
Article 6 User Obligations
6.1 Lawful Use
You warrant that you will use the Services solely for legitimate purposes and shall not utilize the Services to engage in money laundering, terrorist financing, market manipulation or any other illegal or unlawful activities.
6.2 Account Security
You are solely responsible for safeguarding your account login credentials and private keys. All losses resulting from unauthorized disclosure of your account information shall be borne solely by you. You shall notify MGBX immediately upon detecting any abnormal account activity.
6.3 Truthfulness of Information
You warrant that all information submitted to MGBX is true, accurate and complete, and you shall promptly update such information whenever any changes occur.
Article 7 Intellectual Property Rights
All content contained on the Platform and within the Services, including without limitation text, graphics, interface designs, data and software, are protected intellectual property rights owned by MGBX or the respective right holders. Without prior written authorization from MGBX, Users shall not reproduce, distribute or otherwise utilize such content in any form.
Article 8 Disclaimer & Limitation of Liability
8.1 Disclaimer
To the fullest extent permitted by applicable law, MGBX shall not be liable for any losses arising from:
- Force majeure events (including natural disasters, wars, government acts, network failures, etc.) leading to service interruption or asset loss;
- User operational errors or losses caused by disclosure of user account information;
- Acts of third parties including hacking attacks;
- Investment losses resulting from market price volatility.
8.2 Liability Cap
Under no circumstances shall MGBX’s total compensation liability to a User exceed the aggregate service fees actually paid by the User to MGBX via the Services within the three (3) months preceding the date the claim arises.
Article 9 Amendment & Termination of Agreement
9.1 Agreement Amendments
MGBX reserves the right to amend this Agreement at any time. Revised terms will be communicated to Users via Platform announcements or other reasonable channels. Your continued use of the Services following the publication of amendments constitutes your acceptance of the revised Agreement.
9.2 Suspension or Termination of Services
MGBX may suspend or terminate provision of the Services to you if:
- You breach any provisions of this Agreement or the Legal Documents;
- You engage in any illegal or unlawful activities;
- Suspension or termination is required by regulatory authorities or applicable law;
- MGBX elects to discontinue the relevant Services due to business restructuring.
9.3 Voluntary Termination by User
You may submit an application to close your account and cease using the Services at any time, provided that all outstanding wealth management product redemptions and asset transfers have been fully completed beforehand.
Article 10 Dispute Resolution
10.1 Governing Law
The formation, validity, interpretation and performance of this Agreement shall be governed by the laws applicable in MGBX’s place of registration.
10.2 Amicable Negotiation
Any dispute arising out of or in connection with this Agreement shall first be resolved through amicable negotiation between both parties.
10.3 Arbitration
If negotiation fails to resolve the dispute, either party may submit the matter to a competent arbitral institution located in MGBX’s place of registration for arbitration in accordance with the arbitral rules effective at the time of submission. The arbitral award shall be final and binding upon both parties.
Article 11 Miscellaneous Provisions
11.1 Entire Agreement
This Agreement together with all Legal Documents constitutes the entire agreement between both parties with respect to the Services, superseding all prior oral or written agreements relating to the same subject matter.
11.2 Severability
If any provision of this Agreement is held invalid or unenforceable, such provision shall be modified to the minimum extent necessary to render it valid, and all remaining provisions shall remain in full force and effect.
11.3 Waiver of Rights
Any failure or delay by MGBX to exercise any right under this Agreement shall not constitute a waiver of such right.
11.4 Language Priority
The Chinese version of this Agreement shall prevail. All other language translations are provided for reference only; in the event of any discrepancy between translations and the Chinese version, the Chinese text shall govern.
