MGBX Flexible Wealth Management User Agreement
This Agreement is entered into between the MGBX platform (hereinafter referred to as the “Platform”) and users who choose to use the MGBX Flexible Wealth Management service (hereinafter referred to as the “User”).
Agreement Overview
- Flexible Wealth Management is a digital asset value-added service provided by the Platform, designed to offer users a low-risk, flexible deposit and withdrawal financial product.
- By depositing idle digital assets into a Flexible Wealth Management account, users may earn corresponding returns.
- This Agreement applies to all users participating in Flexible Wealth Management. Please read and fully understand the terms before use.
Product Definition
- Flexible Wealth Management: A service allowing users to deposit supported digital assets (e.g., USDT, BTC, ETH) into a flexible account, enabling subscription and redemption at any time while earning returns.
- Supported Assets: Including but not limited to USDT, BTC, ETH, DOGE, SOL, etc. The actual supported assets shall be subject to the Platform page display.
- Minimum Subscription Amount: The minimum subscription amount is 0.01 USDT (or equivalent in other assets), subject to the page display.
- Annual Percentage Yield (APY): Returns are calculated based on asset type and holding amount. For example:
- BTC APY: 2%–3%
- Fixed yield: a base annualized rate of 2% is provided; during the holding period, users may receive up to an additional 1% annualized return depending on market conditions.
- Actual rates shall be subject to real-time page display, and the Platform reserves the right to adjust rates based on market conditions.
Yield Calculation and Distribution
- Yield Calculation:
- Yield is calculated hourly using the formula: Hourly Yield = Holding Amount × APY ÷ (365 × 24)
- Example: If a user holds 1,000 USDT with an APY of 10%, the hourly yield ≈ 0.0114 USDT.
- Yield Distribution:
- Yield is calculated hourly and may be redeemed at any time.
- Yield is distributed in the same asset as subscribed (e.g., USDT subscriptions earn USDT rewards).
- Yield Adjustment:
- The Platform reserves the right to adjust APY based on market conditions, fund utilization, or other factors. Any adjustments will be announced in advance on the Platform.
Subscription and Redemption Rules
- Subscription:
- Users may subscribe at any time, subject to minimum and maximum limits displayed on the Platform.
- Assets begin accruing yield immediately upon successful subscription.
- Auto-Subscription Rule: Idle assets in the wealth account will be automatically subscribed daily at 00:00 to earn yield.
- Redemption:
- Users may redeem all or part of their assets and accrued yield at any time without limitation.
- If only part of the principal is redeemed, accumulated yield will be redeemed proportionally, and the remaining principal will continue to accrue yield.
- Redeemed assets will be returned to the user’s funding account in real time and will no longer accrue yield.
- Redemption may be delayed due to system maintenance or abnormal market conditions, subject to Platform notifications.
- Limits:
- Subscription and redemption may be subject to limits as displayed on the Platform.
- In cases of high market volatility or insufficient liquidity, the Platform may suspend subscription or redemption. During such suspension, existing holdings will continue to accrue yield.
Risk Disclosure
- Market Risk: Digital asset markets are highly volatile; returns may fluctuate based on market conditions.
- Credit Risk: Despite strict risk controls, there remains a possibility that counterparties or other factors may affect timely yield distribution.
- Liquidity Risk: Redemption may be delayed or suspended under abnormal market conditions.
- Technical Risk: Blockchain and internet-related failures, cyberattacks, or technical issues may affect normal operations such as subscription, redemption, or yield calculation.
- Regulatory Risk: Changes in laws or regulatory policies may impact the normal operation of the product.
User Rights and Obligations
- User Rights:
- Users may subscribe and redeem assets at any time and receive corresponding yields.
- Users can view real-time APY, holdings, and yield details via the Platform.
- User Obligations:
- Users must ensure that the source of assets is legal and not related to money laundering or illegal activities.
- Users are responsible for safeguarding their account credentials; the Platform is not liable for losses caused by user negligence.
- Users must comply with Platform rules and must not engage in illegal or prohibited activities.
- Users shall bear any potential losses caused by market fluctuations.
Platform Rights and Obligations
- Platform Rights:
- The Platform reserves the right to adjust APY based on market conditions and operational needs with prior notice.
- The Platform may monitor and manage user accounts for risk control purposes and take necessary actions in case of abnormalities, including but not limited to account freezing or service suspension.
- The Platform shall not be liable for losses caused by market fluctuations, policy changes, or force majeure events.
- Platform Obligations:
- The Platform shall ensure the security of user assets and implement necessary safeguards.
- The Platform shall calculate and distribute yields accurately and in a timely manner as agreed.
- The Platform shall provide necessary technical support and customer service.
Liability for Breach
- If the User breaches this Agreement and causes losses to the Platform or other users, the User shall be liable for compensation.
- If the Platform breaches this Agreement and causes losses to the User, the Platform shall be liable for compensation.
Dispute Resolution
- Any disputes arising from this Agreement shall first be resolved through amicable negotiation.
- If negotiation fails, either party may bring a lawsuit before a competent court at the location of the Platform.
Effectiveness of Agreement
- This Agreement becomes effective once the User completes registration or subscription for the Flexible Wealth Management service.
- It remains valid until the User terminates the service or the Platform ceases to provide the service.
Termination
- This Agreement will automatically terminate once the User redeems all assets.
- If the Platform terminates the service due to legal or business adjustments, it will notify users in advance and assist with asset redemption.
MGBX Fixed-Term Wealth Management User Agreement
This Agreement is entered into between the MGBX platform (hereinafter referred to as the “Platform”) and users who choose to use the MGBX Fixed-Term Wealth Management service (hereinafter referred to as the “User”).
Agreement Overview
Fixed-Term Wealth Management is an innovative digital asset financial product provided by the Platform. Users may deposit Asset A (the subscription asset) to earn interest, which will be distributed in Asset A or Asset B (the interest asset).
The specific asset combinations and supported products shall be subject to the Platform page display.
This Agreement applies to all users participating in Fixed-Term Wealth Management. Please read and fully understand the terms before use.
Product Definition
- Fixed-Term Wealth Management: A product where users deposit a subscription asset (e.g., ETH) and earn returns settled in the designated interest asset.
- Supported Assets: Subscription and interest assets may include USDT, USD, BTC, ETH, etc., subject to the Platform display.
- Minimum Subscription Amount: 1 USDT (or equivalent in other assets).
- Investment Term: Available terms include 7 days, 14 days, 30 days, etc., subject to the Platform display.
- Annual Percentage Yield (APY): Returns are calculated based on asset type and holding amount. For example:
- USDT APY: 2%–3%
- If subscribing in USDT, interest is paid in USDT. A reference BTC/USD exchange rate (e.g., 1 BTC = 88,000 USDT) may be locked at the time of subscription.
- Fixed yield: a base APY of 2%.
- Additional yield: up to an extra 1% annualized return may be granted depending on interest asset price fluctuations or market conditions, calculated and distributed in USDT.
- Actual rates are subject to real-time Platform display. The Platform reserves the right to adjust rates based on market conditions.
Yield Calculation and Settlement
- Yield Calculation:
- The yield is calculated based on the locked exchange rate and the subscription period. The formula for the "Deposit A, Earn B" product is: Actual Interest Credited = Subscription Amount × Locked Exchange Rate × Annual Interest Rate ÷ 365 × Subscription Days. The formula for the "Deposit A, Earn A" product is: Actual Interest Credited = Subscription Amount × Annual Interest Rate ÷ 365 × Subscription Days.
- Example: Subscription amount: 10 ETH, locked exchange rate: 1 ETH = 1,800 USDT, annual interest rate: 6%, subscription period: 7 days. Then: Actual Interest Credited = 10 × 1,800 × 6% ÷ 365 × 7 = 20.71 USDT.
- Yield Settlement:
- Upon maturity, interest will be settled in the designated interest asset and credited to the user’s account.
- Settlement Time: Automatically credited to the user’s wealth account within T+1 working day after maturity.
- Locked Exchange Rate:
- The exchange rate is fixed at the time of subscription (e.g., 1 ETH = 1,800 USDT). Market fluctuations during the term will not affect yield calculation.
- This applies only to A → B structured products. A → A products do not involve exchange rates.
Subscription and Maturity Rules
- Subscription:
- Users must select the subscription asset, interest asset, and term.
- The subscription amount must meet the minimum requirement and not exceed the maximum limit.
- Once subscribed, assets will be locked until maturity and cannot be redeemed early.
- Maturity Handling:
- Upon maturity, the Platform calculates returns based on subscription amount, locked exchange rate, and actual holding period.
- Interest is settled in the interest asset (e.g., USDT).
- Principal is returned in the subscription asset (e.g., ETH).
- Example: If a user subscribes 10 ETH, upon maturity they receive approximately 20.67 USDT as interest, and the principal 10 ETH is returned.
- Early Termination:
- Early redemption is not supported.
- If the product is terminated due to Platform reasons (e.g., insufficient liquidity), the Platform will calculate returns based on the actual holding period and return the principal.
Risk Disclosure
- Exchange Rate Risk: Price fluctuations of the interest asset may lead to variations in settlement value, exposing users to potential asset value volatility.
- Liquidity Risk: Assets are locked during the investment term and cannot be redeemed early.
- Market Risk: Digital asset price volatility may result in returns lower than expected.
- Platform Risk: System failures, cyberattacks, or force majeure events may result in service interruptions or asset loss.
- Liquidity Pool Risk: If the Platform liquidity pool reaches a predefined risk threshold (e.g., 80%), products may be delisted, affecting future subscriptions.
User Rights and Obligations
- User Rights:
- Users have the right to review product rules, strike price (if applicable), and expected returns before subscription.
- Users can view holdings, term details, and yield information via the Platform.
- Users may choose different asset combinations based on their needs.
- User Obligations:
- Users must ensure that the source of subscription assets is legal and not used for illicit activities.
- Users are responsible for safeguarding their account credentials. The Platform is not liable for losses caused by user negligence.
- Users shall bear risks arising from interest asset price fluctuations.
- Users must comply with Platform rules and must not engage in unlawful activities.

- The Platform reserves the right to adjust supported assets, yield calculation methods, and APY based on market conditions and operational needs, with prior notice.
- The Platform may monitor user accounts for risk management and take necessary actions in case of abnormalities, including but not limited to account freezing or service suspension.
- The Platform shall not be liable for losses caused by market fluctuations, regulatory changes, or force majeure events.
- Platform Obligations:
- The Platform shall ensure the security of user assets and implement necessary safeguards.
- The Platform shall calculate and distribute yields accurately and in a timely manner.
- The Platform shall provide necessary technical support and customer service.
Liability for Breach
- If the User breaches this Agreement and causes losses to the Platform or other users, the User shall be liable for compensation.
- If the Platform breaches this Agreement and causes losses to the User, the Platform shall be liable for compensation.
Dispute Resolution
- Any disputes shall first be resolved through amicable negotiation.
- If negotiation fails, either party may bring legal action before a court with jurisdiction at the Platform’s location.
Effectiveness of Agreement
- This Agreement becomes effective once the User completes subscription or registration for the Fixed-Term Wealth Management service.
- It remains valid until the service is terminated by the User or discontinued by the Platform.
Termination
- This Agreement automatically terminates upon completion of the investment term.
- If the Platform terminates the service due to legal or operational reasons, it will notify users in advance and assist with settlement.
